Terms of Service
Please read these Terms of Service carefully before using the Chartrics Software Solutions website or engaging with our services. These terms constitute a legally binding agreement between you and Chartrics Software Solutions LLC.
1. Acceptance of Terms
By accessing or using the Chartrics website at chartrics.am or engaging with any of our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, clients, and other users of our website and services.
2. Description of Services
Chartrics Software Solutions LLC provides employer of record (EOR) services, engineering recruitment, dedicated team operations, and related HR and compliance services for companies hiring in Armenia. Our services are described in more detail on our Services page. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.
3. Client Obligations
Clients engaging Chartrics for services agree to: • Provide accurate and complete information about their hiring requirements • Comply with all applicable laws in their jurisdiction • Not direct Chartrics employees to perform unlawful activities • Maintain confidentiality of any proprietary information shared by Chartrics • Pay invoices within the agreed payment terms Clients are responsible for managing the day-to-day work of employees placed through Chartrics and for ensuring those employees have the tools, access, and information needed to perform their roles.
4. Intellectual Property
All work product created by engineers employed through Chartrics is assigned to the client company by default, as specified in individual service agreements. Chartrics retains no claim to intellectual property developed by placed engineers in the course of their client-directed work. The Chartrics website, brand, platform, and proprietary processes remain the intellectual property of Chartrics Software Solutions LLC.
5. Payment Terms
Invoices are issued monthly for EOR and dedicated team services. Payment is due within 14 days of invoice date unless otherwise agreed in writing. Late payments may incur interest at 1.5% per month. Chartrics reserves the right to suspend services for accounts more than 30 days past due after written notice. All prices are in USD unless otherwise stated. Clients are responsible for any applicable taxes or withholding in their jurisdiction.
6. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with the services. This includes business plans, pricing, personnel information, technical specifications, and client data. Confidentiality obligations survive termination of the service relationship for a period of three years.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Chartrics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability for any claim arising under these terms shall not exceed the total fees paid by the client to Chartrics in the three months preceding the claim.
8. Termination
Either party may terminate a service agreement with 30 days' written notice unless a specific term is stipulated in the agreement. Dedicated team plans require 60 days' notice. Upon termination, Chartrics will manage the offboarding of any employees in accordance with Armenian labor law. Clients remain responsible for employee salaries and Chartrics fees through the end of the notice period.
9. Governing Law
These Terms of Service are governed by the laws of the Republic of Armenia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Yerevan, Armenia, unless otherwise agreed in writing.
10. Changes to These Terms
We may update these Terms of Service from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated terms. The current version of these terms is always available at chartrics.am/terms.
